These Terms of Service ("Terms") form a binding agreement between you ("you", "your", "Customer") and Pure Digital Pte Ltd (UEN 201830211Z), a company incorporated in Singapore ("Pure Digital", "Hoist", "we", "us", "our"), governing your access to and use of the Hoist URL-shortening service at hoist.cc and related applications, APIs and websites (the "Service").

By creating an account, clicking "I agree", or otherwise accessing or using the Service, you agree to these Terms. Under the Electronic Transactions Act 2010 of Singapore, your electronic acceptance (including clicking "I accept") is legally valid and binding. If you are agreeing on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

1. The Service

1.1Hoist lets users create short links ("hoists") that redirect visitors to destination URLs. A click on a hoist is a "lift". Depending on your plan tier, the Service includes click analytics, custom domains, QR codes, link expiration, password-protected links, link cloaking, A/B rotators, geo-targeting and an API.

1.2We may modify, add to, or discontinue features. We will use reasonable efforts to give notice of material adverse changes to the Service.

2. Accounts

2.1You must provide accurate account information (email address and name) and keep it current. Authentication is by passwordless magic link sent to your email; you do not set a Hoist account password.

2.2You are responsible for all activity under your account and for safeguarding access to the email inbox associated with it.

2.3You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service.

2.4Workspaces may have multiple members with assigned roles. The workspace owner is responsible for ensuring its members comply with these Terms and the AUP.

3. Acceptable Use

3.1Your use of the Service is subject to the Hoist Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference. A breach of the AUP is a breach of these Terms.

3.2We may screen destination URLs against known-bad domain lists, accept abuse reports, and take enforcement action under Clause 9.

4. Destination URLs — No Control or Endorsement

4.1Hoist is a neutral redirection and link-management tool. We do not create, control, monitor, verify or endorse the content of destination URLs, and we are not responsible for that content.

4.2You are solely responsible for the destination URLs you shorten, the content to which your hoists point, and for ensuring you have the right to link to them.

4.3Visitors who follow a hoist do so at their own risk. Hoist does not guarantee the safety, legality, accuracy, or availability of any destination URL or third-party site.

5. Your Content and Data

5.1You retain all rights in the destination URLs, slugs, custom domains and other content you submit ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display Customer Content solely to operate, secure and improve the Service.

5.2You represent and warrant that you have all rights necessary to your Customer Content and that it does not violate these Terms, the AUP, or any applicable law.

6. Intellectual Property

6.1The Service — including its software, design, look and feel, trademarks, and the "Hoist" name and logo — is owned by Pure Digital and its licensors. These Terms grant you only a limited, revocable, non-transferable, non-exclusive right to use the Service. No other rights are granted by implication or otherwise.

7. Plans, Payment and Subscriptions

7.1Hoist offers the following tiers: Free (US$0; up to 500 links/month; 30-day analytics); Starter (US$9/month; up to 10,000 links/month; 1 custom domain; 1-year analytics; password protection; up to 3 teammates); and Pro (US$24/month; up to 100,000 links/month; unlimited custom domains; unlimited analytics; A/B rotators; geo-targeting; API access at 10,000 requests/day; up to 50 teammates).

7.2Paid plans are billed in advance on a recurring monthly basis. Subscriptions automatically renew at the then-current price until cancelled. You authorise us and our payment processor to charge your payment method on each renewal. We will clearly and prominently disclose the price, billing frequency and renewal terms before you purchase, consistent with the Consumer Protection (Fair Trading) Act 2003.

7.3You may cancel at any time, effective at the end of the current billing period. Except where required by law or expressly stated, fees already paid are non-refundable.

7.4Plan changes: upgrades take effect immediately (with prorated charges where applicable); downgrades take effect at the start of the next billing cycle and may reduce your limits and feature access.

7.5We may change prices on reasonable prior notice; price changes apply from your next renewal.

7.6Payments are processed by a third-party payment processor (Stripe). We do not store full payment-card details.

7.7Nothing in these Terms excludes or limits any rights you may have that cannot be excluded under Singapore law, including under the Consumer Protection (Fair Trading) Act 2003.

8. Service Availability

8.1We use reasonable efforts to keep the Service available and redirects functioning, but we do not guarantee any specific uptime or that the Service will be uninterrupted, timely, secure or error-free.

8.2We may carry out maintenance and may suspend the Service where reasonably necessary for security, legal or operational reasons.

9. Suspension and Termination

9.1We may suspend, disable or remove any hoist, slug or destination, and suspend or terminate any account or workspace, immediately and without prior notice, where we reasonably believe there is: a breach of these Terms or the AUP; a legal, security or reputational risk; abuse (including phishing, malware, spam, copyright or other IP infringement, or other illegal content); or a risk of harm to other users or third parties.

9.2We maintain an audit log of administrative enforcement actions.

9.3You may terminate at any time by closing your account.

9.4On termination, your right to use the Service ends and your hoists may cease to resolve. Provisions that by their nature should survive (including Clauses 4, 5.2, 6, 10, 11, 12, 13 and 14) survive termination.

10. API and Rate Limits

10.1API access is available on the Pro tier subject to a limit of 10,000 requests per day. We may impose, vary, or enforce rate limits and may throttle or suspend access for excessive, automated or abusive use.

10.2You must not circumvent rate limits, scrape the Service, or use the API to build or operate a competing service. API use is subject to the AUP.

11. Disclaimers

11.1To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, and any warranty regarding destination URLs or other third-party content.

12. Limitation of Liability

12.1To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, business or goodwill, arising out of or relating to the Service or these Terms.

12.2Our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the total amounts you paid us for the Service in the 12 months preceding the event giving rise to the claim, or (b) SGD 100.

12.3Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Singapore law (including liability for death or personal injury caused by negligence, or for fraud).

13. Indemnification

13.1You will indemnify, defend and hold harmless Pure Digital and its officers, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable legal fees) arising from or relating to your Customer Content, your destination URLs, your use of the Service, or your breach of these Terms, the AUP, or any applicable law.

14. Governing Law and Disputes

14.1These Terms are governed by and construed in accordance with the laws of Singapore.

14.2The parties submit to the exclusive jurisdiction of the courts of Singapore.

15. Changes to these Terms

15.1We may update these Terms. We will post the updated version with a new "Last Updated" date and, for material changes, provide reasonable notice (e.g. by email or in-app notice). Your continued use of the Service after changes take effect constitutes acceptance.

16. General

16.1If any provision is held unenforceable, the remaining provisions remain in full force. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets; you may not assign without our prior written consent. These Terms (with the AUP, Privacy Policy and Cookie Policy) constitute the entire agreement between the parties regarding the Service. No waiver is effective unless in writing.
